2. Scope of Services

We offer a wide range of services, including:

• Custom software development
• Mobile app development (iOS, Android)
• Web development and design
• API integration
• Consulting and maintenance

The specific services we will provide to you will be outlined in the proposal or service agreement between you and the Company.

3. Client Responsibilities

The Client agrees to:

• Provide accurate and complete information regarding project requirements and objectives.
• Cooperate with the Company by providing access to necessary resources, documentation, and personnel.
• Respond to Company inquiries in a timely manner.
• Test and review delivered software promptly and report any issues or feedback.

Failure to meet these obligations may result in project delays or additional costs.

4. Project Deliverables and Timeline

The Company will make reasonable efforts to deliver the project within the agreed timeline. However, timelines may be adjusted due to unforeseen circumstances, including scope changes, delays from third-party providers, or technical challenges.

Any modifications to the project scope or timeline must be agreed upon in writing by both parties.

5. Payment Terms

• A deposit of 20% is required before work commences, unless otherwise agreed.
• Final payment is due upon project completion or according to the payment schedule specified in the service agreement.

6. Intellectual Property

All intellectual property created during the course of the project, including but not limited to code, design, and documentation, shall be owned by the Company until full payment is received.

Upon full payment, ownership of the software or website will be transferred to the Client, except for any third-party components or open-source code, which will remain under their respective licenses.

The Company retains the right to display the project in its portfolio or marketing materials unless explicitly agreed otherwise in writing.

7. Confidentiality

Both parties agree to keep all information shared during the project confidential, including but not limited to proprietary business information, software code, and client data. This obligation extends beyond the completion of the project.

8. Warranty and Support

The Company provides a limited warranty on the software for [Duration] after delivery to fix any bugs or issues directly related to the work performed. This warranty does not cover issues resulting from:

• Third-party software or services
• Changes made by the Client or other developers
• Misuse or negligence by the Client

Support beyond the warranty period or for issues outside the scope of the original project will be subject to additional charges.

9. Limitation of Liability

To the maximum extent permitted by law, the Company shall not be liable for:

• Any direct, indirect, or consequential losses or damages arising from the use or inability to use the software.
• Loss of profits, business interruption, loss of data, or other similar damages.
• Any errors or delays caused by third-party providers or circumstances beyond the Company's control.

In no event shall the Company's total liability exceed the amount paid by the Client for the services provided.

10. Termination

Either party may terminate the project at any time by providing written notice to the other party. In the event of termination:

• The Client is responsible for paying for all work completed up to the date of termination.
• The Company will deliver all completed work to the Client upon final payment.

12. Amendments

The Company reserves the right to modify these Terms and Conditions at any time. Any changes will be effective immediately upon posting on our website. It is the Client's responsibility to review these terms regularly.
